Effective Date: July 28, 2026

Pathwaize Inc., a Delaware corporation doing business as Pathwaize (“Pathwaize,” “we,” “us,” or “our”), provides the Pathwaize software platform, websites, mobile applications, voice applications, artificial intelligence tools, lead-management tools, data products, calculators, automations, communication features, Pathwaize Intelligence, and related products and services collectively referred to as the “Services.”

These Terms of Service, referred to as the “Terms,” form a binding agreement between Pathwaize and the person or entity that accesses or uses the Services, referred to as “you,” “your,” or “Customer.”

By accessing or using any part of the Services, creating an account, clicking to accept these Terms, signing an order form, purchasing a subscription, or continuing to use the Services after these Terms are posted or updated, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you may not access or use the Services.

Important Notice

These Terms include disclaimers of warranties, limitations of liability, indemnification obligations, binding arbitration, a class-action waiver, and a jury-trial waiver. Please read them carefully.

1. Eligibility and Account Registration

Age and Authority

You must be at least 18 years old to use the Services.

If you access or use the Services on behalf of a company, investment business, partnership, fund, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Account Information

You agree to provide accurate, complete, and current account, billing, contact, and business information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account, including activity performed by your employees, contractors, agents, team members, and authorized users.

Authorized Users

You may permit authorized employees, contractors, or agents to access the Services under your account, subject to the limits of your applicable Subscription Plan.

You are responsible for ensuring that all authorized users comply with these Terms. A violation by an authorized user will be treated as a violation by Customer.

Unauthorized Access

You must promptly notify Pathwaize if you believe that your account, credentials, data, or Connected Systems have been accessed or used without authorization.

Pathwaize is not responsible for losses resulting from your failure to safeguard your credentials, devices, authentication methods, or account access.

2. Definitions

Atlas

“Atlas” means Pathwaize’s lead-data search, filtering, enrichment, and data-access product that may allow Customers to search for, pull, purchase, enrich, or access property, owner, and contact information.

Atlas Radar

“Atlas Radar” means Pathwaize’s recurring monitoring, subscription, or automated lead-delivery product that may identify or deliver property, owner, contact, and motivation-related information based on Customer-selected criteria.

Atlas and Radar Lead Data

“Atlas and Radar Lead Data” means property, owner, contact, phone, email, enrichment, ownership, occupancy, motivation, status, list-hygiene, or related information made available through Atlas, Atlas Radar, or related Pathwaize data features.

Business Knowledgebase

“Business Knowledgebase” means the Customer-specific collection of documents, files, records, structured data, questions and answers, instructions, preferences, templates, policies, business information, and other source materials that Customer uploads, connects, submits, or otherwise makes available for processing through Pathwaize Intelligence.

Connected Systems

“Connected Systems” means third-party accounts, applications, databases, storage systems, communication systems, customer relationship management platforms, websites, calendars, APIs, and other services that Customer authorizes Pathwaize or Pathwaize Intelligence to access or interact with.

Customer Content

“Customer Content” means content, data, files, lists, contacts, notes, recordings, transcripts, messages, templates, prompts, instructions, deal information, business information, and other materials that Customer submits, uploads, transmits, stores, connects, or processes through the Services.

Customer Data

“Customer Data” means personal information, business information, lead data, contact data, CRM data, transaction information, recordings, communications, notes, and related information that Customer submits to or processes through the Services.

End Contacts

“End Contacts” means leads, prospects, sellers, buyers, property owners, vendors, tenants, contractors, agents, employees, partners, private lenders, customers, or other third parties whose information is uploaded to, stored in, contacted through, or processed by the Services.

Engine

“Engine” means a specialized Pathwaize Intelligence module, agent, workflow, or group of capabilities designed to perform or assist with particular business functions, including analysis, content creation, data migration, deal analysis, disposition, offer development, communications, reporting, research, or workflow execution.

Execution Action

“Execution Action” means an action recommended, prepared, initiated, or completed through Pathwaize Intelligence, including creating or modifying records, generating or transmitting content, triggering workflows, updating Connected Systems, creating documents, making recommendations, or performing other authorized tasks.

Improvement Data

“Improvement Data” means information derived from the operation and use of Pathwaize Intelligence that Pathwaize retains or uses to evaluate, test, train, tune, secure, maintain, and improve Pathwaize Intelligence, subject to these Terms and the Privacy Policy.

Intelligence Data

“Intelligence Data” means Customer Content, Customer Data, Business Knowledgebase content, prompts, instructions, Connected System data, CRM records, lead information, deal information, buyer information, communications, user corrections, approval decisions, workflow results, Execution Actions, and Outputs processed through Pathwaize Intelligence.

Outputs

“Outputs” means responses, analyses, summaries, recommendations, suggestions, messages, automations, call transcripts, deal projections, calculated results, AI-generated content, documents, workflow results, or other materials generated through the Services.

Pathwaize Intelligence

“Pathwaize Intelligence” means the hosted intelligence, knowledge-retrieval, memory, analytics, artificial intelligence, orchestration, evaluation, recommendation, content-generation, workflow, and controlled-execution capabilities provided through the Services, including specialized Engines and related features.

Purchased Data

“Purchased Data” means property, owner, contact, enrichment, phone, email, motivation, and related data delivered to Customer through Atlas, Atlas Radar, or similar paid, usage-based, or subscription data products.

Subscription Plan

“Subscription Plan” means a paid plan, package, membership, subscription, special plan, custom plan, promotional offer, grandfathered plan, enterprise plan, or service tier offered by Pathwaize.

Usage Fees

“Usage Fees” means metered, pass-through, credit-based, or usage-based charges, including charges for calls, SMS, email, phone numbers, AI usage, language-model usage, data pulls, enrichment, credits, Atlas leads, Atlas Radar leads, workflows, third-party services, regulatory fees, or other usage-based Services.

3. Services and License

License Grant

Subject to these Terms and payment of applicable fees, Pathwaize grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for Customer’s internal business purposes.

Permitted Use

Customer may use the Services only in accordance with:

  1. These Terms.
  2. The Privacy Policy.
  3. Applicable order forms.
  4. Applicable product-specific terms.
  5. Published documentation and instructions.
  6. Applicable laws and regulations.

Service Changes

Pathwaize may modify, enhance, replace, suspend, discontinue, or limit any part of the Services at any time.

Changes may include changes to features, Engines, models, integrations, data sources, usage limits, workflows, pricing structures, service tiers, third-party providers, or technical functionality.

Availability

Pathwaize does not guarantee that every feature, integration, Engine, model, or data source will be available to every Customer, Subscription Plan, account, geographic area, or use case.

4. Acceptable Use

Prohibited Conduct

Customer may not, and may not permit another person to:

  1. Reverse engineer, decompile, disassemble, or attempt to derive source code, system instructions, prompts, models, workflows, algorithms, or proprietary methods from the Services.
  2. Copy, modify, resell, sublicense, rent, lease, distribute, or create derivative works from the Services except as expressly permitted by Pathwaize.
  3. Use the Services to build, train, benchmark, support, or improve a competing product or service without Pathwaize’s written consent.
  4. Circumvent access controls, usage limits, billing systems, authentication requirements, security controls, or technical restrictions.
  5. Scrape, crawl, harvest, bulk export, or extract information from the Services except through functionality expressly provided by Pathwaize.
  6. Upload, transmit, or process malware, malicious code, unlawful content, infringing content, deceptive content, or content that violates the rights of another person.
  7. Use the Services to send spam, unlawful marketing, deceptive communications, prohibited content, or communications that violate carrier, email, telemarketing, consumer-protection, or privacy requirements.
  8. Interfere with, overload, probe, scan, disrupt, or compromise the Services or any associated network, vendor, data source, or third-party system.
  9. Use the Services in violation of real estate, licensing, privacy, telecommunications, marketing, consumer-protection, debt-collection, fair-housing, lending, securities, tax, employment, or other applicable laws.
  10. Upload sensitive personal information unless a feature specifically requests it and Customer has all required rights, notices, permissions, and consents.
  11. Use the Services to impersonate another person or misrepresent the origin or purpose of a communication.
  12. Use the Services to facilitate fraud, discrimination, harassment, stalking, threats, unlawful surveillance, or other harmful activity.

Monitoring and Enforcement

Pathwaize may monitor use of the Services for security, abuse prevention, billing, compliance, service quality, fraud prevention, support, and enforcement of these Terms.

Pathwaize may investigate suspected violations and may restrict, suspend, or terminate access where reasonably necessary.

5. Customer Responsibilities

General Responsibilities

Customer is responsible for its use of the Services and for all Customer Content, Customer Data, communications, campaigns, automations, workflows, prompts, instructions, and configurations submitted through its account.

Customer Representations

Customer represents and warrants that:

  1. Customer has all necessary rights, permissions, licenses, consents, and lawful bases to upload, process, store, use, and communicate with Customer Data and End Contacts through the Services.
  2. Customer’s use of the Services will comply with applicable laws, regulations, industry rules, platform requirements, carrier rules, and third-party terms.
  3. Customer will provide all legally required notices and obtain all legally required consents.
  4. Customer will honor unsubscribe requests, STOP requests, do-not-call requests, consent revocations, suppression requests, and other legally required opt-outs.
  5. Customer will not use the Services to mislead, harass, threaten, discriminate against, defraud, or unlawfully target any person.
  6. Customer will independently verify property, owner, contact, deal, valuation, underwriting, legal, tax, repair, financial, and compliance information before relying on it.

Business Decisions

Pathwaize does not control Customer’s business practices, marketing campaigns, communications, investment decisions, real estate transactions, professional obligations, or legal compliance.

Customer remains solely responsible for all decisions and actions taken through or based on the Services.

6. Communications, Consent, Recording, and Messaging

Electronic Communications

By using the Services, Customer consents to receive legal notices, service notices, billing notices, product updates, security alerts, and other communications electronically, including by email, SMS, in-app notification, or other electronic means.

Electronic notices satisfy any legal requirement that a notice be provided in writing to the extent permitted by law.

Marketing Communications

If Customer uses the Services to send email, SMS, MMS, voice calls, voicemail, AI voice calls, automated calls, direct mail, or other marketing communications, Customer is solely responsible for obtaining and documenting all legally required consents and honoring all opt-outs.

SMS, Voice, A2P, Carrier, and Telemarketing Requirements

Customer is responsible for complying with all applicable requirements concerning:

  1. The Telephone Consumer Protection Act.
  2. The National Do Not Call Registry.
  3. State do-not-call laws.
  4. Company-specific do-not-call requests.
  5. CTIA guidelines.
  6. A2P 10DLC requirements.
  7. Carrier rules.
  8. Calling-hour restrictions.
  9. Artificial or prerecorded voice requirements.
  10. Consent and opt-out documentation.
  11. Sender identification.
  12. CAN-SPAM and commercial-email requirements.

Pathwaize may suspend, throttle, block, filter, or restrict communication features if Customer’s use violates applicable law, carrier requirements, platform rules, these Terms, or creates legal, deliverability, security, reputational, or operational risk.

Call Recording, Voicemail, Transcription, and Voice AI

The Services may include call recording, voicemail capture, transcription, AI voice, call summaries, sentiment analysis, quality review, training, and related voice features.

Customer is solely responsible for providing any legally required recording notice and obtaining legally required consent from all participants.

By enabling or using these features, Customer represents and warrants that its use complies with applicable federal, state, and local recording and privacy laws.

7. Atlas, Atlas Radar, and Purchased Data

Atlas and Atlas Radar Services

Atlas may allow Customer to search, filter, pull, purchase, enrich, or access property, owner, and contact information.

Atlas Radar may allow Customer to subscribe to ongoing monitoring or automated delivery of property, owner, contact, and motivation-related data based on Customer-selected criteria.

License to Purchased Data

Subject to these Terms and payment of applicable fees, Pathwaize grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use Purchased Data solely for Customer’s internal, lawful business purposes.

Customer does not acquire ownership of underlying third-party databases, data sources, enrichment methods, data-compilation methods, vendor systems, or Pathwaize’s proprietary data systems.

Purchased Data Restrictions

Customer may not:

  1. Resell, sublicense, license, publish, distribute, broker, rent, lease, or commercially exploit Purchased Data as a standalone product.
  2. Provide Purchased Data to unrelated third parties except to authorized employees, contractors, agents, professional advisers, or service providers who require access for Customer’s internal business purposes and are subject to appropriate confidentiality and compliance obligations.
  3. Use Purchased Data to create, train, improve, or operate a competing data product, enrichment service, lead service, CRM, or marketing platform.
  4. Use Purchased Data for unlawful solicitation, harassment, fraud, deception, discrimination, or other prohibited activity.
  5. Use Purchased Data after receiving a legally valid opt-out, suppression, deletion, or do-not-contact request unless continued use is legally permitted.
  6. Use Purchased Data for credit, insurance, employment, tenant screening, housing eligibility, lending eligibility, government-benefit eligibility, or another purpose that would cause the data to be treated as a consumer report.
  7. Use Purchased Data in violation of privacy, telemarketing, commercial-email, consumer-protection, fair-housing, or other applicable laws.

Data Sources and Accuracy

Atlas and Radar Lead Data and Purchased Data may be collected, enriched, validated, delivered, or supported by third-party data sources, fulfillment vendors, analytics providers, or infrastructure providers.

Pathwaize does not guarantee that Purchased Data is complete, current, accurate, deliverable, exclusive, or free from errors, duplications, omissions, outdated information, incorrect ownership information, invalid contact information, or incorrect property information.

Customer is responsible for independently verifying Purchased Data before relying on it, contacting a person, making an offer, entering a transaction, or taking legal, financial, marketing, or business action.

Suppression and Removal

Pathwaize may remove, suppress, update, restrict, withhold, or stop delivering particular records, fields, leads, phone numbers, email addresses, or other data to comply with:

  1. Applicable law.
  2. Vendor or data-source requirements.
  3. Privacy or suppression requests.
  4. Consent revocations or opt-outs.
  5. Contractual restrictions.
  6. Security or risk-management requirements.
  7. Operational limitations.

Customer remains responsible for honoring suppression and opt-out obligations in Customer’s own systems and workflows, including after data has been exported from Pathwaize.

No Exclusivity

Purchased Data is not exclusive to Customer. Other customers may independently access similar or overlapping data through the same or different sources.

Pathwaize will not make Customer’s account-specific lists or Purchased Data selections available to other Pathwaize customers except at Customer’s direction.

8. Deal Analyzer, Calculators, and General AI Features

Informational Nature of Outputs

The Services may include deal analyzers, calculators, underwriting tools, projections, AI-generated suggestions, automations, call summaries, lead scoring, routing recommendations, follow-up suggestions, and content-generation tools.

Outputs are provided for informational and operational purposes only.

Potential Errors

Outputs may be inaccurate, incomplete, outdated, or based on:

  1. Incorrect assumptions.
  2. Incomplete or inaccurate inputs.
  3. Model limitations.
  4. Third-party data limitations.
  5. Technical errors.
  6. Outdated market information.
  7. Customer-selected configurations.

No Professional Advice

Pathwaize does not provide legal, tax, accounting, investment, lending, appraisal, brokerage, insurance, securities, construction, environmental, title, or other professional advice.

Customer is solely responsible for reviewing and verifying all Outputs before using, sending, publishing, or relying on them.

No Guaranteed Results

No Output guarantees a lead, appointment, transaction, contract, valuation, financing approval, profit, return, compliance outcome, seller response, or business result.

9. Pathwaize Intelligence

Pathwaize Intelligence Services

Pathwaize Intelligence may organize, index, retrieve, analyze, summarize, generate, score, recommend, route, remember, and act upon information from Customer’s Business Knowledgebase, Customer Data, Customer Content, Connected Systems, and other authorized sources.

Pathwaize Intelligence may provide:

  1. Business analytics.
  2. Performance insights.
  3. Recommended actions.
  4. Generated content.
  5. Workflow assistance.
  6. Operational guidance.
  7. Customer-specific memory and context.
  8. Specialized Engines.
  9. Execution Actions.
  10. Reporting and monitoring capabilities.

Certain configurations may allow Pathwaize Intelligence to initiate or complete Execution Actions based on Customer instructions, approval settings, permissions, automation rules, or previously approved workflows.

Customer Authorization to Process Intelligence Data

Customer authorizes Pathwaize and its authorized service providers to host, access, store, index, retrieve, transmit, analyze, transform, generate from, and otherwise process Intelligence Data as reasonably necessary to:

  1. Provide and operate Pathwaize Intelligence.
  2. Generate Outputs and recommendations.
  3. Maintain Customer-specific memory and context.
  4. Operate Engines and workflows.
  5. Complete authorized Execution Actions.
  6. Exchange information with Connected Systems.
  7. Provide implementation and customer support.
  8. Maintain, secure, and troubleshoot the Services.
  9. Monitor reliability, quality, accuracy, abuse, and compliance.
  10. Improve Pathwaize Intelligence as permitted by these Terms and the Privacy Policy.

Customer represents and warrants that it has all rights, permissions, notices, consents, and lawful bases required to provide Intelligence Data to Pathwaize and authorize this processing.

Customer Ownership

As between Customer and Pathwaize, Customer retains ownership of:

  1. Customer Content.
  2. Customer Data.
  3. Customer-provided Business Knowledgebase content.
  4. Information retrieved from Customer’s Connected Systems.
  5. Customer-specific source files and business records.

Customer does not transfer ownership of its underlying information merely because that information is hosted, indexed, processed, analyzed, or used through Pathwaize Intelligence.

Pathwaize Intelligence Technology

Pathwaize retains all right, title, and interest in and to the technology and intellectual property underlying Pathwaize Intelligence, including:

  1. Agents and agent architectures.
  2. System instructions and proprietary prompts.
  3. Pathwaize frameworks and methodologies.
  4. Engine designs and functionality.
  5. Workflow logic and orchestration methods.
  6. Model-routing and model-selection systems.
  7. Retrieval, indexing, memory, and context systems.
  8. Taxonomies, templates, scoring methods, and evaluation systems.
  9. Approval, permission, audit, and execution systems.
  10. Improvements, configurations, derivatives, and generalized knowledge developed through operation of the Services.

Customer’s ownership of Customer Content, Customer Data, or Business Knowledgebase materials does not grant Customer ownership of or access to Pathwaize’s underlying agents, prompts, frameworks, software, workflows, orchestration methods, or proprietary processes.

Privacy and Customer Isolation

Intelligence Data is treated as private to Customer and will not be made available to other Pathwaize customers except:

  1. At Customer’s direction.
  2. Through functionality Customer expressly enables.
  3. Where the data has been de-identified or aggregated so that it cannot reasonably identify Customer, an End Contact, a specific property, or a specific transaction.

Pathwaize will not sell or rent Intelligence Data or disclose it to unrelated third parties for their independent advertising, marketing, data-brokerage, or commercial purposes.

Permitted Disclosures

Pathwaize may disclose or provide access to Intelligence Data:

  1. To authorized employees, contractors, affiliates, hosting providers, database providers, artificial intelligence providers, LLM providers, infrastructure providers, support providers, and other service providers as reasonably necessary to provide, maintain, secure, support, or improve the Services.
  2. To Connected Systems or third parties at Customer’s direction.
  3. To investigate fraud, abuse, security incidents, legal violations, or threats.
  4. As required by law, legal process, court order, subpoena, or governmental request.
  5. In connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction, subject to appropriate confidentiality and data-protection obligations.
  6. As otherwise described in the Privacy Policy.

Service providers and subprocessors may access Intelligence Data only to the extent reasonably necessary to perform services for Pathwaize and are subject to applicable contractual, confidentiality, security, and data-use restrictions.

Third-Party AI and LLM Providers

Pathwaize Intelligence may use one or more third-party artificial intelligence models, large language models, embedding models, transcription providers, analytics tools, search systems, or related technology providers.

Pathwaize may transmit portions of Intelligence Data to these providers when reasonably necessary to:

  1. Generate Outputs.
  2. Retrieve or analyze information.
  3. Complete workflows.
  4. Transcribe communications.
  5. Perform Execution Actions.
  6. Provide other enabled functionality.

Pathwaize will use commercially reasonable provider terms, settings, and technical controls intended to prevent third-party AI providers from using Intelligence Data to train general-purpose models for the provider’s independent benefit, unless a different use is expressly disclosed to and authorized by Customer.

Different AI models and providers may have different capabilities, processing locations, retention periods, security controls, technical limitations, and pricing.

Pathwaize may select, change, or route between providers based on availability, performance, cost, security, functionality, reliability, or operational considerations.

Learning, Training, and Improvement

Pathwaize may retain and use selected Improvement Data derived from Intelligence Data to evaluate, test, train, tune, maintain, secure, and improve Pathwaize Intelligence.

Improvement activities may include:

  1. Evaluating the quality, usefulness, accuracy, and safety of Outputs.
  2. Reviewing errors, incomplete results, hallucinations, workflow failures, and exceptions.
  3. Refining prompts, retrieval processes, context systems, memory systems, model routing, scoring systems, templates, taxonomies, and workflows.
  4. Evaluating whether users accept, reject, revise, approve, or act upon recommendations and Outputs.
  5. Improving Engines, automation logic, permissions, analytics, audit systems, and user experience.
  6. Developing new or improved Pathwaize Intelligence capabilities.
  7. Training or fine-tuning models, classifiers, retrieval systems, evaluation systems, or other components controlled by or developed for Pathwaize.
  8. Preventing fraud, abuse, prohibited activity, and security threats.

Improvement Data may include:

  1. Prompts and instructions.
  2. Outputs.
  3. Corrections and revisions.
  4. User feedback.
  5. Workflow results.
  6. Error information.
  7. Approval, rejection, or acceptance signals.
  8. Performance data.
  9. System logs.
  10. Feature-usage information.

Where reasonably practicable, Pathwaize will de-identify or aggregate Intelligence Data before retaining it for longer-term generalized learning, analytics, training, or product-improvement purposes.

Retention of Customer-Linked Data

Pathwaize may retain Intelligence Data in an identifiable or Customer-linked form when reasonably necessary to:

  1. Provide Customer-specific memory and functionality.
  2. Maintain the Business Knowledgebase.
  3. Fulfill Customer instructions.
  4. Provide implementation and support.
  5. Investigate and correct errors.
  6. Evaluate feature performance.
  7. Maintain security, permissions, compliance, and audit records.
  8. Resolve disputes or enforce agreements.
  9. Comply with legal obligations.
  10. Perform authorized learning, evaluation, training, or improvement activities.

Pathwaize will not use Intelligence Data to create unrelated marketing profiles about Customer or its End Contacts or to market unrelated third-party products to them.

Limited Human Access

Authorized Pathwaize personnel and contractors may access or review limited Intelligence Data when reasonably necessary for:

  1. Implementation.
  2. Customer support.
  3. Troubleshooting.
  4. Security.
  5. Quality assurance.
  6. Error correction.
  7. Compliance.
  8. Evaluation.
  9. Permitted learning, training, and improvement.

Pathwaize will limit such access based on role, business need, authorization, and reasonable confidentiality and security controls.

Intelligence Data Retention and Deletion

Pathwaize may retain Intelligence Data for as long as reasonably necessary to:

  1. Provide Pathwaize Intelligence.
  2. Maintain Customer-specific memory.
  3. Maintain the Business Knowledgebase.
  4. Complete workflows and Execution Actions.
  5. Provide support, billing, security, auditing, and compliance.
  6. Improve the Services as permitted by these Terms.
  7. Satisfy legal, contractual, dispute-resolution, and recordkeeping obligations.

Customer may delete or request deletion of Intelligence Data through available account functionality or the process described in the Privacy Policy.

Deletion may not immediately remove data from encrypted backups, security logs, audit records, disaster-recovery systems, or records that Pathwaize must retain for legal, billing, security, compliance, or dispute-resolution purposes.

Pathwaize may continue to retain and use Improvement Data after account cancellation or termination where the information has been de-identified or aggregated so that it cannot reasonably be linked to Customer, an End Contact, a specific property, or a specific transaction.

Connected Systems

Customer controls which Connected Systems it authorizes Pathwaize Intelligence to access.

Customer authorizes Pathwaize to access, retrieve, transmit, create, modify, or otherwise interact with information in Connected Systems to the extent reasonably necessary to provide enabled features and complete Customer-authorized workflows.

Customer is responsible for:

  1. Maintaining valid permissions and credentials.
  2. Ensuring that its use of Connected Systems complies with applicable laws and third-party terms.
  3. Reviewing the scope of access granted to Pathwaize.
  4. Removing access when it is no longer needed.
  5. Confirming the accuracy and appropriateness of information transmitted to or from a Connected System.

Pathwaize is not responsible for changes, errors, downtime, restrictions, data loss, or other acts or omissions of Connected System providers.

Execution Actions and Customer Oversight

Pathwaize Intelligence may recommend, prepare, initiate, or complete Execution Actions based on Customer’s settings, permissions, instructions, approval rules, Connected Systems, and workflows.

Where Customer enables automatic Execution Actions, Customer authorizes Pathwaize Intelligence to perform those actions without obtaining separate approval for each individual action.

Customer remains responsible for:

  1. Selecting and configuring Engines, workflows, permissions, and approval rules.
  2. Reviewing material recommendations, communications, documents, records, and Outputs.
  3. Maintaining appropriate human oversight.
  4. Confirming that Execution Actions are accurate, lawful, and appropriate.
  5. Monitoring activities performed through Customer’s account.
  6. Complying with legal, contractual, professional, and regulatory obligations.

Pathwaize may require approval before certain Execution Actions, restrict or disable automatic execution, maintain audit records, or decline to complete an action that Pathwaize reasonably believes may be unlawful, harmful, unauthorized, fraudulent, insecure, or inconsistent with these Terms.

No Reliance or Guaranteed Outcome

Pathwaize Intelligence uses artificial intelligence, automated systems, Customer-provided information, third-party models, and probabilistic technology.

Outputs and Execution Actions may contain errors, omissions, incorrect assumptions, outdated information, or unintended results.

Customer must independently review and verify material Outputs and Execution Actions before relying on them for legal, financial, investment, lending, housing, employment, tax, accounting, contractual, compliance, or other significant decisions.

Pathwaize Intelligence does not replace professional judgment or qualified legal, tax, accounting, investment, appraisal, lending, brokerage, construction, or other professional advice.

Pathwaize does not guarantee that Pathwaize Intelligence will:

  1. Identify every issue.
  2. Recommend the best action.
  3. Complete every workflow correctly.
  4. Generate accurate or complete information.
  5. Improve Customer’s business.
  6. Produce revenue.
  7. Prevent losses.
  8. Achieve any particular outcome.

10. Subscriptions, Usage Fees, and Billing

Plans and Billing

Access to certain Services may require a Subscription Plan, one-time purchase, order form, credit purchase, Atlas purchase, Atlas Radar subscription, Pathwaize Intelligence subscription, custom plan, or other paid arrangement.

Customer authorizes Pathwaize and its payment processors to charge Customer’s payment method for all applicable:

  1. Subscription fees.
  2. Usage Fees.
  3. Credits.
  4. Add-ons.
  5. Data charges.
  6. Communication charges.
  7. AI and LLM charges.
  8. Pass-through vendor charges.
  9. Taxes.
  10. Regulatory fees.
  11. Other charges incurred through Customer’s account.

Automatic Renewal

Unless otherwise stated, Subscription Plans automatically renew until canceled.

Customer authorizes Pathwaize to charge the applicable payment method on a recurring basis without requiring separate approval for each billing cycle.

Trials and Promotional Periods

If Pathwaize offers a free, discounted, or promotional trial, the trial may automatically convert to a paid subscription at the end of the trial period unless Customer cancels before the trial ends or the applicable offer states otherwise.

Usage-Based Fees

The Services may include metered, credit-based, or pass-through charges for:

  1. Calls.
  2. Phone numbers.
  3. SMS and MMS.
  4. Email.
  5. Voice AI.
  6. Conversational AI.
  7. Content generation.
  8. LLM and model usage.
  9. Workflows and premium actions.
  10. Direct mail.
  11. Data enrichment.
  12. Atlas leads.
  13. Atlas Radar leads.
  14. Pathwaize Intelligence processing.
  15. Third-party tools and services.

Usage Fees may be charged immediately, periodically, at the end of a billing cycle, through prepaid credits, or as otherwise disclosed in an order form, pricing page, checkout page, invoice, or in-app billing notice.

Credits

Purchased, promotional, or included credits:

  1. Have no cash value.
  2. Are non-transferable.
  3. Are not redeemable for cash.
  4. Are non-refundable unless expressly stated or required by law.
  5. May expire.
  6. May be limited to particular features.
  7. May not roll over unless expressly stated.

Refunds

Except where expressly stated by Pathwaize or required by law, all fees are non-refundable.

This includes setup fees, subscription fees, annual fees, prepaid fees, Usage Fees, credits, Atlas purchases, Atlas Radar charges, Pathwaize Intelligence charges, and vendor pass-through charges.

Annual and prepaid plans may not be canceled for a prorated refund or downgraded during the applicable term unless Pathwaize expressly agrees otherwise in writing.

Taxes and Regulatory Fees

Fees are exclusive of taxes, duties, carrier fees, regulatory fees, telecommunications fees, and similar governmental assessments.

Customer is responsible for all applicable taxes and fees, excluding taxes based on Pathwaize’s net income.

Price Changes

Pathwaize may change subscription fees, Usage Fees, vendor pass-through charges, data fees, credit costs, AI costs, LLM costs, and other pricing prospectively by providing notice through:

  1. Email.
  2. An in-app notice.
  3. A website or pricing-page update.
  4. An order form.
  5. An invoice.
  6. Another reasonable method.

Continued use of the affected Services after the effective date of a pricing change constitutes acceptance of the updated pricing.

Special Plans and Model-Specific Pricing

Certain special plans, custom agreements, promotional offers, enterprise plans, grandfathered plans, or configurations using different AI models, LLM providers, data providers, carrier services, or third-party vendors may have pricing that differs from the rates listed in these Terms or Schedule A.

Where pricing differs, the applicable order form, pricing page, checkout screen, invoice, in-app billing notice, promotional terms, or written agreement will control.

Failed and Late Payments

If Customer’s payment fails or Customer’s account becomes past due, Pathwaize may:

  1. Suspend or terminate access.
  2. Disable paid features.
  3. Pause automations and workflows.
  4. Stop data delivery.
  5. Restrict Pathwaize Intelligence processing.
  6. Recover amounts owed.
  7. Charge legally permitted collection costs, late fees, or reactivation fees.

11. Third-Party Services and Providers

Third-Party Services

The Services may integrate with, depend on, or make available third-party:

  1. Applications.
  2. AI and LLM providers.
  3. Hosting providers.
  4. Data sources.
  5. Payment processors.
  6. Telecom carriers.
  7. Email and SMS providers.
  8. Direct-mail vendors.
  9. CRM systems.
  10. Storage providers.
  11. Analytics platforms.
  12. Calendar and communication tools.
  13. Other vendors.

Third-Party Terms

Third-party services may be governed by separate terms and privacy policies.

Pathwaize does not control and is not responsible for the availability, performance, security, accuracy, downtime, changes, acts, omissions, or data-handling practices of third-party providers.

Data Sharing With Service Providers

Customer authorizes Pathwaize to share Customer Data, Customer Content, Intelligence Data, and related information with third-party service providers as reasonably necessary to provide, maintain, secure, support, bill, and improve the Services.

12. Intellectual Property, Customer Content, and Feedback

Pathwaize Intellectual Property

Pathwaize and its licensors own all right, title, and interest in and to the Services, including:

  1. Software.
  2. Workflows.
  3. Automations.
  4. Engines.
  5. User interfaces.
  6. Designs.
  7. Models.
  8. Prompts.
  9. Frameworks.
  10. Documentation.
  11. Data compilations.
  12. Business methods.
  13. Know-how.
  14. Processes.
  15. Trademarks and logos.
  16. Proprietary technology.

No rights are granted to Customer except as expressly stated in these Terms.

Customer Content Ownership

As between Customer and Pathwaize, Customer retains ownership of Customer Content submitted to the Services.

License to Customer Content

Customer grants Pathwaize a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, transmit, display, analyze, transform, modify, create technical derivatives of, and otherwise use Customer Content and Intelligence Data as reasonably necessary to:

  1. Provide the Services.
  2. Operate Pathwaize Intelligence.
  3. Maintain Customer-specific context and memory.
  4. Retrieve and generate information.
  5. Operate Engines.
  6. Complete authorized Execution Actions.
  7. Provide implementation and support.
  8. Maintain security and service integrity.
  9. Troubleshoot errors.
  10. Process billing.
  11. Comply with law.
  12. Enforce these Terms.
  13. Perform permitted evaluation, learning, training, and improvement activities.

This license does not transfer ownership of Customer’s underlying Customer Content, Customer Data, Business Knowledgebase, or Intelligence Data to Pathwaize.

Outputs

Subject to these Terms and Customer’s compliance with applicable law, Customer may use Outputs generated for Customer through the Services for Customer’s internal business purposes.

Customer is responsible for reviewing, verifying, approving, and lawfully using Outputs.

De-Identified and Aggregated Data

Pathwaize may create, use, retain, analyze, and disclose de-identified, anonymized, or aggregated information derived from use of the Services, provided that the information does not reasonably identify Customer, Customer’s company, an End Contact, a specific property, or a specific transaction.

Pathwaize may use such information for:

  1. Analytics.
  2. Benchmarking.
  3. Security.
  4. Product improvement.
  5. Training and evaluation.
  6. Demos.
  7. Marketing.
  8. Case studies.
  9. Business reporting.

Where Pathwaize uses de-identified or aggregated information in a public case study or marketing example, Pathwaize will not identify Customer without permission unless otherwise permitted by the Privacy Policy.

Feedback

If Customer provides suggestions, ideas, improvements, feature requests, testimonials, comments, or other feedback, Customer grants Pathwaize a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, distribute, display, perform, commercialize, and otherwise use that feedback without restriction or compensation.

13. Privacy, Data Security, and Data Processing

Privacy Policy

Pathwaize’s collection, use, disclosure, retention, and protection of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.

Customer Data Responsibilities

Customer is responsible for Customer Data that Customer uploads, collects, stores, processes, or communicates with through the Services.

Customer is responsible for:

  1. Providing required privacy notices.
  2. Obtaining required consents.
  3. Maintaining lawful bases for processing.
  4. Responding to privacy-rights requests.
  5. Maintaining suppression and opt-out lists.
  6. Complying with applicable privacy and data-protection laws.

Pathwaize Processing Roles

Depending on the context, Pathwaize may act as:

  1. An independent controller or business for account information, billing information, website information, product analytics, security records, service communications, compliance, Atlas and Radar operations, and business administration.
  2. A processor or service provider for Customer Data processed on Customer’s behalf and under Customer’s instructions.
  3. An independent controller or business for permitted Improvement Data, security, fraud prevention, billing, service integrity, privacy-rights requests, suppression requests, legal compliance, and enforcement of these Terms.

Where Pathwaize Intelligence processes Customer Data solely to provide the Services under Customer’s instructions, Pathwaize generally acts as a processor or service provider on Customer’s behalf.

Where required by applicable law, Pathwaize may provide a data-processing addendum or similar agreement.

Security

Pathwaize implements reasonable administrative, technical, and physical safeguards designed to protect personal information and Customer Data.

No system, network, storage method, transmission method, model, or service can be guaranteed to be completely secure.

Pathwaize does not guarantee that unauthorized access, loss, misuse, disclosure, or security incidents will never occur.

General Data Retention

Pathwaize may retain Customer Content, Customer Data, Purchased Data, Intelligence Data, Improvement Data, account information, billing records, usage logs, communications, transcripts, and Outputs for as long as reasonably necessary to:

  1. Provide the Services.
  2. Maintain business records.
  3. Comply with law.
  4. Resolve disputes.
  5. Enforce agreements.
  6. Support security.
  7. Prevent fraud and abuse.
  8. Perform permitted product-improvement activities.
  9. Satisfy legitimate business purposes.

Data After Cancellation or Termination

Following cancellation or termination, Pathwaize may delete, retain, de-identify, aggregate, restrict, or archive data in accordance with:

  1. The Privacy Policy.
  2. Applicable law.
  3. Backup and disaster-recovery procedures.
  4. Security requirements.
  5. Vendor requirements.
  6. Legitimate recordkeeping obligations.
  7. These Terms.

14. Confidentiality

Confidential Information

Each party may receive non-public information from the other party that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Such information is referred to as “Confidential Information.”

Confidentiality Obligations

The receiving party will:

  1. Use Confidential Information only to perform or receive the Services.
  2. Protect Confidential Information using reasonable care.
  3. Limit access to individuals who have a legitimate need to know and are subject to confidentiality obligations.

Exclusions

Confidential Information does not include information that:

  1. Is publicly available through no breach of these Terms.
  2. Was independently developed without use of the other party’s Confidential Information.
  3. Was lawfully received from a third party without confidentiality restrictions.
  4. Must be disclosed by applicable law or legal process.

15. Disclaimers

Services Provided as Available

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, PATHWAIZE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND QUIET ENJOYMENT.

No Service Warranty

PATHWAIZE DOES NOT WARRANT THAT:

  1. THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.
  2. DEFECTS WILL BE CORRECTED.
  3. DATA, OUTPUTS, PURCHASED DATA, CONTACT INFORMATION, PROPERTY INFORMATION, CALCULATIONS, TRANSCRIPTS, SUMMARIES, OR AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.
  4. THE SERVICES WILL PRODUCE A PARTICULAR BUSINESS, INVESTMENT, MARKETING, LEGAL, COMPLIANCE, FINANCIAL, OR REAL ESTATE RESULT.
  5. ANY LEAD, CAMPAIGN, WORKFLOW, ENGINE, OUTPUT, OR AUTOMATION WILL RESULT IN A DEAL, APPOINTMENT, CONTRACT, PROFIT, RETURN, OR RESPONSE.

Pathwaize Intelligence Disclaimer

WITHOUT LIMITING THE OTHER DISCLAIMERS IN THESE TERMS, PATHWAIZE DOES NOT WARRANT THAT PATHWAIZE INTELLIGENCE, ANY ENGINE, BUSINESS KNOWLEDGEBASE, MEMORY FUNCTION, CONNECTED SYSTEM, AI MODEL, LLM, OUTPUT, RECOMMENDATION, ANALYSIS, EXECUTION ACTION, WORKFLOW, OR AUTOMATION WILL BE ACCURATE, COMPLETE, CURRENT, ERROR-FREE, UNINTERRUPTED, OR APPROPRIATE FOR CUSTOMER’S PARTICULAR PURPOSE.

CUSTOMER ASSUMES THE RISKS ASSOCIATED WITH ENABLING AUTOMATED OR SEMI-AUTOMATED EXECUTION ACTIONS.

CUSTOMER IS RESPONSIBLE FOR MAINTAINING APPROPRIATE PERMISSIONS, APPROVALS, SAFEGUARDS, REVIEW PROCESSES, AND HUMAN OVERSIGHT.

16. Limitation of Liability

Exclusion of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, PATHWAIZE WILL NOT BE LIABLE FOR:

  1. INDIRECT DAMAGES.
  2. INCIDENTAL DAMAGES.
  3. SPECIAL DAMAGES.
  4. CONSEQUENTIAL DAMAGES.
  5. EXEMPLARY DAMAGES.
  6. PUNITIVE DAMAGES.
  7. LOST PROFITS OR REVENUE.
  8. LOST GOODWILL.
  9. LOST BUSINESS OPPORTUNITIES.
  10. LOSS OR CORRUPTION OF DATA.
  11. BUSINESS INTERRUPTION.
  12. COSTS OF SUBSTITUTE SERVICES.

This limitation applies even if Pathwaize was advised of the possibility of such damages.

Liability Cap

TO THE FULLEST EXTENT PERMITTED BY LAW, PATHWAIZE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO PATHWAIZE DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Application of Limitations

These limitations apply to claims arising from:

  1. Customer Content.
  2. Customer Data.
  3. Intelligence Data.
  4. Purchased Data.
  5. Outputs.
  6. Execution Actions.
  7. Communications.
  8. Campaigns.
  9. Data errors.
  10. AI or LLM errors.
  11. Third-party services.
  12. Carrier actions.
  13. End Contact claims.
  14. Customer business or investment decisions.

Non-Excludable Liability

These limitations apply to the maximum extent permitted by law and do not exclude liability that cannot legally be excluded or limited.

17. Indemnification

Customer Indemnification Obligations

Customer will defend, indemnify, and hold harmless Pathwaize, its affiliates, officers, directors, employees, contractors, licensors, vendors, and agents from and against claims, demands, actions, damages, losses, liabilities, penalties, fines, settlements, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  1. Customer’s use of the Services.
  2. Customer Content, Customer Data, or Intelligence Data.
  3. Customer’s communications, campaigns, calls, messages, emails, automations, recordings, or AI voice use.
  4. Customer’s use of Atlas and Radar Lead Data or Purchased Data.
  5. Customer’s failure to obtain, document, or honor consents, opt-outs, revocations, suppression requests, unsubscribe requests, or do-not-call requests.
  6. Customer’s violation of these Terms, the Privacy Policy, applicable law, carrier rules, industry rules, or third-party terms.
  7. Customer’s business decisions, investment decisions, real estate transactions, offers, contracts, or communications.
  8. Claims by End Contacts or other third parties relating to Customer’s use of the Services.
  9. Customer’s use or misuse of Outputs, calculators, Deal Analyzer results, Pathwaize Intelligence recommendations, or Execution Actions.
  10. Customer’s use of data for consumer reporting, tenant screening, employment, credit, insurance, housing eligibility, lending, or another prohibited or regulated eligibility purpose.
  11. Customer’s configuration or authorization of an automated Execution Action.

Defense and Settlement

Pathwaize may assume exclusive control of a matter subject to indemnification.

Customer agrees to cooperate with Pathwaize’s defense and may not settle a claim in a manner that imposes liability or obligations on Pathwaize without Pathwaize’s prior written consent.

18. Suspension, Cancellation, and Termination

Suspension

Pathwaize may immediately suspend, restrict, throttle, or terminate Customer’s access if Pathwaize reasonably believes:

  1. Customer violated these Terms, the Privacy Policy, applicable law, carrier rules, vendor requirements, or third-party terms.
  2. Customer’s use creates legal, privacy, security, fraud, abuse, deliverability, reputational, operational, or financial risk.
  3. Customer’s payment method failed or the account is past due.
  4. Customer’s messaging, email, calling, or data activity triggered complaints, spam signals, blocks, bounces, carrier filtering, or abnormal usage.
  5. Suspension is required by law, legal process, government request, vendor restriction, or data-source requirement.

Customer Cancellation

Customer may cancel a subscription through available account functionality or by contacting Pathwaize support, unless an order form specifies another cancellation process.

Cancellation becomes effective at the end of the applicable billing period unless otherwise stated.

Customer remains responsible for all fees incurred before cancellation, including Usage Fees, vendor charges, Atlas charges, Atlas Radar charges, Pathwaize Intelligence charges, credits used, and other accrued charges.

Termination by Pathwaize

Pathwaize may terminate Customer’s account or these Terms if Customer:

  1. Materially breaches these Terms.
  2. Fails to pay amounts owed.
  3. Misuses the Services.
  4. Creates risk for Pathwaize or others.
  5. Engages in illegal or prohibited conduct.

Pathwaize may also terminate an applicable Service if Pathwaize discontinues that Service.

Effect of Termination

Upon termination or cancellation, Customer’s right to access and use the affected Services will end.

Access to Pathwaize Intelligence, Engines, Business Knowledgebase functionality, Customer-specific memory, Connected Systems, Outputs, and related Intelligence Data may be disabled.

Customer is responsible for exporting Customer Content or Customer Data it wishes to retain before account access ends.

Post-Termination Data

Following termination, Pathwaize may retain Intelligence Data and Improvement Data as permitted by these Terms, the Privacy Policy, applicable law, security requirements, backup procedures, and legitimate recordkeeping obligations.

Customer-specific data retained solely to provide terminated Services may be deleted, de-identified, aggregated, restricted, or otherwise handled in accordance with Pathwaize’s Privacy Policy and retention practices.

Survival

Provisions that by their nature should survive termination will survive, including provisions concerning:

  1. Payment obligations.
  2. Intellectual property.
  3. Privacy and data processing.
  4. Confidentiality.
  5. Purchased Data restrictions.
  6. Disclaimers.
  7. Limitations of liability.
  8. Indemnification.
  9. Arbitration.
  10. Governing law.

19. Copyright and DMCA Notices

If you believe that material available through the Services infringes your copyright, you may send a notice containing the information required by applicable copyright law to:

20. Beta and Experimental Features

Beta Services

Pathwaize may offer beta, pilot, preview, experimental, early-access, or limited-release Services.

Such features:

  1. Are optional.
  2. Are provided “as is.”
  3. May be less reliable or less tested.
  4. May be modified or discontinued at any time.
  5. May be subject to additional limitations, fees, or terms.

Pathwaize is not liable for loss or damage arising from use of beta or experimental features to the fullest extent permitted by law.

21. Force Majeure

Pathwaize will not be liable for delay, failure, outage, degradation, or nonperformance caused by events beyond its reasonable control, including:

  1. Natural disasters.
  2. Acts of God.
  3. Labor disputes.
  4. Internet or hosting outages.
  5. Cyberattacks.
  6. Denial-of-service attacks.
  7. Telecommunications or carrier failures.
  8. Vendor or model-provider failures.
  9. Data-source interruptions.
  10. Government actions.
  11. War or terrorism.
  12. Civil unrest.
  13. Pandemics.
  14. Power failures.
  15. Payment-processor interruptions.
  16. Supply-chain disruptions.

22. Assignment, Waiver, Severability, and Entire Agreement

Assignment

Customer may not assign or transfer these Terms without Pathwaize’s prior written consent.

Pathwaize may assign or transfer these Terms to an affiliate, successor, acquirer, or another entity in connection with a merger, acquisition, reorganization, financing, sale of assets, or change of control.

No Waiver

A party’s failure to enforce a provision does not waive its right to enforce that provision later.

Severability

If a provision is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, applicable order forms, data-processing terms, product-specific terms, and written addenda, constitute the entire agreement between Customer and Pathwaize concerning the Services.

Order of Precedence

If documents directly conflict, the following order of precedence will apply unless expressly stated otherwise:

  1. A signed custom agreement or order form.
  2. Applicable product-specific terms or written addenda.
  3. These Terms.
  4. Published documentation or general website materials.

An order form or pricing notice controls plan-specific pricing, included usage, special-plan terms, and billing arrangements.

23. Governing Law, Arbitration, and Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

Informal Dispute Resolution

Before filing a formal claim, each party agrees to provide written notice describing the dispute and allow at least 30 days for good-faith resolution.

Binding Arbitration

Except for claims eligible for small-claims court or claims seeking injunctive relief for intellectual property, confidentiality, security, or unauthorized use of the Services, disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules.

The arbitration will take place in Fort Bend County, Texas, unless the parties agree otherwise.

Class-Action Waiver

Customer and Pathwaize agree that each party may bring claims only in its individual capacity and not as a plaintiff, class member, or representative in a class, collective, consolidated, private-attorney-general, or representative action.

Jury-Trial Waiver

Customer and Pathwaize waive the right to a jury trial to the fullest extent permitted by law.

Injunctive Relief

Nothing in this section prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction to prevent unauthorized use, disclosure, infringement, security threats, or misuse of intellectual property or Confidential Information.

24. Changes to These Terms

Updates

Pathwaize may update these Terms from time to time.

Pathwaize may provide notice through:

  1. Posting updated Terms on its website.
  2. An in-app notification.
  3. Email.
  4. Another reasonable method.

Acceptance of Updated Terms

Updated Terms are effective on the effective date stated in the updated document.

Customer’s continued use of the Services after the effective date constitutes acceptance of the updated Terms.

If Customer does not agree to the updated Terms, Customer must stop using the Services and cancel its account.

Atlas Radar may include recurring subscription fees and may also include per-lead, per-pull, credit-based, enrichment, monitoring, or data-delivery charges depending on Customer’s configuration.

Pathwaize Intelligence Pricing

Pathwaize Intelligence may include:

  1. Recurring subscription fees.
  2. Implementation or setup fees.
  3. User-based charges.
  4. AI or LLM processing charges.
  5. Token-based charges.
  6. Engine-specific fees.
  7. Data-storage or retrieval charges.
  8. Workflow or Execution Action charges.
  9. Third-party service charges.
  10. Custom development or integration fees.

Applicable charges may be described in an order form, pricing page, checkout screen, invoice, in-app billing notice, promotional offer, or written agreement.

Special Plans and Model-Specific Pricing

Certain special plans, custom agreements, promotional offers, enterprise plans, grandfathered plans, or configurations using different artificial intelligence models, LLM providers, data providers, carrier services, or third-party vendors may have pricing that differs from the rates listed in this Schedule A.

Where pricing differs, the applicable order form, pricing page, checkout screen, invoice, in-app billing notice, promotional terms, or written agreement will control.

Additional Pricing Notes

  • Usage rates may include pass-through, metered, or vendor-dependent charges.
  • Rates may change based on carrier, vendor, telecom, AI, LLM, data-source, infrastructure, or regulatory pricing.
  • Messaging, voice, telecom, email, data, and AI features may incur registration, carrier, regulatory, verification, toll-free verification, A2P 10DLC, or similar third-party charges.
